URGENT FRAUD WARNING Authentication Codes for WebFiling There have been instances recently where Companies House customers have been contacted by someone claiming to be from Companies House, asking for verification of their WebFiling Authentication Codes. Please be aware that Companies House personnel will never contact you by telephone to try to ascertain your WebFiling Authentication Codes. Should anyone contact you claiming to be from Companies House please try to obtain a return telephone number and contact us immediately. Intracom VAT Registry scam Companies House have been made aware of a scam involving a company called Intracom VAT Registry. Letters have been sent by them to newly formed companies relating to EU VAT registration. The letters request that companies visit a fraudulent website (that has since been closed down) and make a payment via credit/debit card. Companies House are working closely with HMRC and the Metropolitan police. Please do not pay monies and report any contact from the company to the police and to Companies House. Companies House Information Centres Please be aware that the office in Cardiff, London, Edinburgh and Belfast will be closed on Monday 29th August 2011. Online Services The online services will be available but the Companies House Direct Helpdesk and Contact Centre will be closed. Document Delivery Only the Cardiff office will be manned for the receipt of documents. Letterbox facilities exist in London and Edinburgh but not in Belfast. Accounts must be delivered to Companies House on or before the due date as delays in transit will not be accepted as an excuse for late delivery. Normal service will resume on Tuesday 30th August 2011. 26 July 2011 - 7.30 a.m. Companies House are still experiencing intermittent response problems on our Web Filing service. They are currently investigating and will provide an update as soon as possible. Companies House apologises for any inconvenience caused. 10th July 2011 We are making some essential technical and reorganisational changes to Foersters, it is anticipated our lines will be closed on Friday 14th July, possibly all day, they will reopen on Saturday at 11am, sorry for any inconvenience this may cause, please note all other services will be operating as normal. 8th July 2011 Sorry for the disruption with our lines this week, I am advised all is running as normal now, though they are likely to be very busy. 8th July 2011 Due to an essential system upgrade, Companies House same day service cannot be guaranteed on Wednesday 13th July and there may be a slower response time on the WebFiling service between midday and 2pm on Thursday 14th July. 4th July 2011 Majority of paper filing is to be withdrawn from Jan 2013 Companies House has a realistic vision to become a fully automated electronic registry. As part of the journey towards this vision Companies House are today announcing that they expect all company registration and document filings of annual returns, annual accounts and the main company changes will be digital-only (electronic) by March 2013 for the standard company types which represent over 98% of companies on the register and 92% of all transactions by volume. For the small number of remaining company types and transactions they will continue developing electronic services but a ‘paper’ option for these will remain at the moment. This change is subject to consultation with stakeholders and regulations being passed by Parliament. A date for the consultation process will be announced on their website as soon as it becomes available. Digital transactions have a number of benefits for our customers - lower fees, ease of use, increased “right first time” percentage (re-work rates for electronic transactions are less than one sixth of the rate for paper transactions), increased security and reduced fraud, guaranteed delivery and faster processing. The move to digital accounts will bring the potential for new products which will help the company information market and make it easier for accounts data to be used for analysis, comparisons and benchmarking. Digital services offer significant cost savings over their paper equivalent. Those savings are passed on in full to their customers through lower fees – the statutory fees for our services are set on the basis of cost recovery. In terms of our dedicated servers, that means ensuring they are up-to-date. This usually happens without customers noticing but a set of scheduled update patches - designed to enhance the security of our existing server software - might be a little more intrusive, so we are letting you know. We are currently planning the implementation of a series of server patches that should all go smoothly, but some of them may lead to your server being rebooted following the update. This shouldn't cause too much inconvenience but it may obviously lead to a small amount of downtime. The patch updates are essential to preserve the integrity of our systems and your server, but we appreciate that if a reboot might be necessary we need to time it so that it fits in with your plans. At present your scheduled maintenance time is: Between: 11am Tuesday 31st May 2011 to 11am Wednesday 1st June 2011 If this time would create a problem for you please raise a support ticket as soon as possible to let our team know so we can try and re-schedule. Companies House have made a change to the way they want different share classes presented in the Statement of Capital section. Each Share class must now have its own Statement of Capital and each share class within a different currency must also have its own Statement of Capital. The spelling and punctuation of each share class has to be uniform throughout the shareholding details and statements of capital. It is also case sensitive so if it is in capitals it must be in capitals throughout. Thank you for your considerable patients. 17/08/2010 Update There are no reported issues with filing and incorporations at Companies House to the best of our knowledge. 16/08/2010 - Update We have been working with Companies House to rectify the polling issues that have been problematic for some weeks. We are pleased to tell you that the new incorporations are running normally. We still have some issues with older incorporations but Companies House will hopefully have them corrected in the very near future. 06/08/2010 - Companies House advise we can re-poll for certificates, we have and the problem still persists, we continue to work with Companies House for a solution to their technical problems which is proving extremely inconvenient for everyone. Please accept our apologies for any inconvenience caused to your business. 04/08/2010 - Companies House continue to experience major technical problems, which centres on the inability to forward Incorporation Certificates, please note your Company Registrations continue to complete on time though they cannot presently forward the company incorporation certificate. The problem is not unique to Foersters most Formation Agents are being affected. Many of the companies currently in 'Pending' have been formed and the details can be viewed on the Companies House Webcheck service. We are working with Companies House to resolve this situation as quickly as possible and will post an update as soon as we can. 02/08/2010 - temp webpage for 0844 account chamges – Click Here Companies House and SIC 2007 The United Kingdom use a form of coding to classify business establishments the “Standard Industrial Classification of Economic Activities (SIC),” also used for other standard units by the type of economic activity in which they are engaged. The newest version of the lists of codes (SIC 2007) was adopted by in the United Kingdom from 1st January 2008. Below the Q & A notice explains the reasons why they are replacing the SIC 2003 coding with the SIC 2007 coding for use by companies when advising their principal business activity. 1. What is SIC 2007? It’s the latest version of the Standard Industrial Classification which was last revised in 2003. It’s a numerical classification that Companies House adopted to identify company principal business activities which are required to be stated on the annual return (form AR01) each year. The new classification system was adopted by the UK on 1st January 2008. 2. What is CH doing to adopt the new version? Companies House is currently running a project, liaising with our parent Department (BIS), to adopt the new codings across our internal IT systems and also our WebFiling, WebCHeck and CHD services. 3 .When will CH adopt SIC 2007? We will adopt SIC 2007 from 01 October 2011, annual returns with a made up date on or after that date will be required to use the new codes. 4. What will happen if I use a SIC 2007 code instead of a SIC 2003 before 01 October 2011? We will convert any SIC 2007 code used to SIC 2003 on our records. But you should ensure that you continue to use the current version (SIC 2003) of the codes. This version will not change in our guidance or our electronic filing systems until we have adopted the new version of the codes. Companies will be required to change their SIC code to the latest classification (SIC 07) upon filing their annual return with a made up date of 1st October 2011 onwards. 5. Why can’t CH just accept SIC 2007 codes before 01 October 2011? The classification system is prescribed by statutory instrument and the current prescribed scheme is SIC 2003. CH cannot accept SIC 2007 codes until the scheme is changed to that version by an amended statutory instrument. New regulations, THE COMPANIES ACT 2006 (ANNUAL RETURNS) REGULATIONS 2011 (SI 2011/1487) adopting the SIC 2007 codes have been laid in Parliament with a view to coming into force on 1st October 2011. The new regulations will be published on the legislation.gov.uk website at: http://www.legislation.gov.uk/uksi 6. Are there any other changes proposed in the regulations? The new regulations also contain changes to Shareholder details required on the annual return with made up dates 1st Oct 2011 or later as follows: The abolition of the requirement to include any information about shareholders and shareholdings in their Annual Returns for companies traded on regulated markets at any time during the return period and for any other company subject to Chapter 5 of the Disclosure and Transparency Rules (DTR5) throughout the return period. The requirement for other companies whose shares are publicly traded will be changed so that they are required to provide a “snapshot” of significant shareholders and their shareholdings as at the date of the return. 7.
