At Foerster Business Solutions Limited we offer a wide range of business solutions to assist new or established companies. Below is a detailed commentary on the services we offer. Many of these are included within our various formation packages but they can also be purchased separately.

       

Limited Company Formations - As stated on our homepage we are company formation agents. Choosing any one of the packages on offer will mean having your own limited company formed quickly and easily. The company is formed at the time of order and is not what is termed "off the shelf" though if that is your preference the see our shelf company page . Both shelf and new incorporations carry advantages we new incorporations all the relevant details of directors and shareholders etc. are entered at the time of formation and this removes the requirement to fill in change of detail forms that used to be used before online registration was available. It only takes 4 easy steps to successfully register your UK limited company. Off shelf companies of course are already established and many come with a signifcant amount of age, this can be useful when a comany needs to show it has been a player in the market for a period of time.

New incorporations:

  • Use the free company search to see if your chosen name is available.
  • Complete the online form with your details
  • Enter your preferred payment information
  • Finally submit your application for company registration

We will then track your application at Companies House and providing the name of the company passes Companies house guidelines we should have your company registered within 4 hours, providing the application was submitted before 11am and there are no problems at Companies House.

Ready Made Companies - We have a number of "Off the Shelf" companies. These are sometimes desirable as they are longer established than our newly formed companies. To view the companies available please click here

Registered Office Service - All businesses must have a registered office to receive official mail. Official mail consists of corespondence from Companies House and other government agencies together with mail from UK courts. Many of our clients prefer not to have official mail delivered direct to their trading address (for example if this is also their home address) and therefore choose our registered office service. All official mail is recieved and then forwarded on to an address of your choice. The cost of this service is £49.00 per annum for our Gtr Manchester Office, £85 per annum for the London EC1office.

Offshore Companies & Banking Arrangements - We are able to offer an array of offshore companies and banking arrangements in many different countries. Due to unpleasant changes in legislation or tax policy in some offshore havens we no longer recommend and offer corporations and banking in the jurisdictions of Switzerland . Our professionals are carefully and continuously analysing available offshore tax havens and have selected those which offer the best opportunities to the clients. Company Secretarial & Complience Service - Company Directors have a duty to file accounts, annual returns, and changes of particular forms with companies house. We offer a service to take away this headache for only £120 per annum. Our staff will handle the filing of accounts and annual returns. We remind you of when these are due and communicate with you to ensure you pass them to us on time. Details of changes of particulars that you pass to us are also forwarded to companies house. A booklet with guidelines is provided to help you understand what is required.

Declarant of a UK Company - A declarant is the person who takes responsibility for the information contained in a company formation application. They will verify that all details about the directors, secretary, subscribers and share capital are complete and accurate.  

First Named Company Director as Declarant - Some company formation systems automatically allocate the role of the declarant to the first name director in the list of those being appointed. Other electronic incorporation systems (like our own service) allow the person setting up the company to specify separately who they want the person to be.

Accountants and Solicitors Role - In the past, it was largely accountants, solicitors and other professionals who were assigned the declarant role. This is because traditionally, they were approached by persons requiring the setting up of a UK company to carry out the task.

Declarant Signature on the Formation Application - The setting up of a UK Company requires declarants to affix their electronic signature to the incorporation request, we do this by asking three questions characteristic to that person, then the first three letters are taken from their answers which make up the electronic signature.

Corporate Nominee Secretary - We can provide a  Corporate Nominee Company Secretary service for clients who are looking to incorporate a company but they do not have the requirements of two persons in order to complete the incorporation at an affordable fee. Prices start at £49.00 per 6mths then £45 per year.

Named Nominee Secretary - We can appoint a named nominee secretary, this position comes with a number of risks thus the cost is a little higher than the corporate entity but still very affordable at £275.

Corporate Nominee Director- If you choose to appoint a corporate director whether our nominee or your own selection you will need to appoint at least one natural person (see Named Nominee below), we can provide a corporate nominee director at a cost of £150.00. The Nominee Director Service is an administation service, and is in no way involved in the running of, and financial affairs of your business. Note there is a document signing fee for special documents.

Named Nominee Director UK - From October 2008 all UK registered companies must have at least one named officer to act as Company Director. We can now provide your company with a named nomnee director, of course this position comes with a number of risks thus the cost is higher than the corporate entity but still very reasonable at £275 interim service or our full nominee service for just £499. Note there is a document signing fee for special documents.

Named Nominee Director EU - From October 2008 all UK registered companies must have at least one named officer to act as Company Director. We can now provide your company with a named nomnee director, of course this position comes with a number of risks thus the cost is higher than the corporate entity but still very reasonable at £499. Note there is a document signing fee.

Nominee Corporate Shareholder - It is sometimes necessary for the shareholders in a limited company to remain anonymous and appoint nominees to hold their shares incognito. We are happy to provide this service for a fee of £49.00 per year. Note there is a document signing fee.

Business Banking - Foerster's have joined forces with Barclays Bank PLC, HSBC PLC to provide an exclusive company formation and fast track business bank account package.
By providing a minimal amount of information you will be able to take advantage of a service that will result in a new corporate bank account usually opened within a week of placing an order for the new company formation. Free bank accounts are subject to the banks own status checks.
Our combined service includes all the elements of our company formation service and the following business banking features:

  • Business Bank Account usually opened within ONE WEEK of ordering the new company formation.
  • 18 Months’ free banking with no restrictions automatically available.
  • Accounts are opened with the Bank branch housing a business Relationship Manager closest to the Company’s Trading Address.
  • No forms to complete
  • No need to make an appointment with Barclays or HSBC
  • No formal interview with the branch manager. All that is required is for all parties to the Bank Account to attend their local branch (no appointment necessary) of Barclays or HSBC (depending on your preferred Bank) to present a Mandate and provide proofs of identity & address as they would for any other bank account.
  • The bank account is a full corporate business account. Your business will receive a cheque book and debit card, face to face banking, online banking and telephone banking, BAKS & CHAPS.

What is the full procedure?
Step 1). You complete the online company incorporation application form, or Tel 08443 575859 (call charged at local rate) and we will complete the form for you).
Step 2). We send by return an email requesting a little more information for the bank account.
Step 3). All paperwork is completed for you and processed through Barclays / HSBC
Step 4). The Bank send you a welcome pack by first class post.
Step 5). Inside the welcome pack is a mandate, you need to sign the mandate and take it to your local branch, no appoint necessary, along with your proof of ID (passport, Utility bill etc).
And that is it, there is nothing else for you to do, in other words:

  • no awkward interviews with the bank manager
  • no completing of lengthy forms
  • no compiling of business plans

Will I qualify for a Fast Track Bank Account?

To qualify for your business bank account, first you need to form a company through our usual procedure, and providing you and your fellow officers (other people involved in the company) have no major adversities (bad credit, bankruptcy, ccj’s etc), and you can prove who you are and where you have lived for the passed 3 years, then there shouldn’t be a problem and you will qualify for an account.
If you do have any adversities, bad credit problems, then please don’t despair, we can still help you, we have a special relationship with most of the high street banks and can usually, in 99% of cases, still arrange a business bank account, simply telephone our office on 08443 575859 (calls charged at local rate) and we will be happy to help you in any way we can.

Upto 18 months free banking

Many high street banks have imposed certain restriction on usage of business bank accounts before they will authorise free bank facilities, Foerster Business solutions have secured unrestricted free banking for upto 18 months with two of the major high street banks Barclays PLC and HSBC PLC. Both banks have excellent facilities, offering a multitude of professional services, such as business planning, raising capital and investments.
Foersters are completely satisfied either bank will give you a first class service and thus are asking you to select your chosen bank for your fast track business bank account. You will be asked to make your selection via email following registration of your company

VAT Registration - For new companies, dealing with Government agencies can be daunting, especially when the word VAT is mentioned, and in keeping with what seams to be HMRC's policy there are heaps of forms to complete. At Foerster's we will complete the entire process for you dealing direct with Her Majesty's Revenue and Customs on your behalf via electronic link. The cost of this service is £45.00 + VAT. This service is available to both new and established companies, please note we do not guarantee acceptance we merely complete the complete the application documents and submit them on your behalf.

0844/3 Telephone Numbers - Once your business is up and running you will obviously require a telephone number. Why not improve the image of your company by setting up an 0844 this is a local rate number for use by customers to call your business, it rides on the back of a landline and is completely free of all running costs. In order to process your order we require an underlining landline telephone number (a landline number you will be using for your business calls). Below are a list of the many feature that come completely free of charge, note there is no cost to set up or run this services.

0870 Fax to Email Numbers - An excellent new product that allows your business to have a dedicated fax number without paying for a dedicated phone line. All faxes are forwarded to your chosen email address when received. Price £20.00 + VAT then £5 pcm.

Web Design - Nowadays many companies see the internet as a great source of business. Online trading is expanding rapidly and is beginning to replace more traditional methods. We offer a 5 page web site design services which includes 1 year web hosting for a cost of £465.00 + VAT. If a more complex web site is required (for example database driven or with e-commerce) then this can be quoted for seperately.

Online Store - We also have an online store which offers many items to assist you in setting up and running your business including Company seals, stamps, brass nameplates and copy certificates

Credit Checking Facilities - Knowing your customers is extremely important in today's business environment. Many companies fall into receivership each year leaving their suppliers with unpaid debts. We have access to reports from credit checking agencies and because we buy in bulk we can sell these to our clients at a cost of only £1.50 + VAT per report.. We also have the facility to download limited company accounts and annual returns direct from Companies House and supply them to you in .pdf format at a cost of £5.00 + VAT per document.
