Terms and Conditions for Company Formations, Free Bank Accounts and Registered Office Services

1. Definitions

our', 'we' and 'us' means Foerster Business Solutions Limited and, where applicable, its officers, employees and authorised agents;
'our site' means our website or websites;
'you' and 'your' include any business with which you are associated and on behalf of which you use our site;
'services' means the company formation service and other ancillary services offered on our site and where relevant includes any goods supplied by us; and
'terms and conditions' includes these terms and conditions of business our Privacy Policy and all other instructions to you posted on our site.

2. Terms and Conditions
2.1 When requesting services from our site you agree to comply with the on-line ordering procedure as prompted on our site.

2.2 When requesting services for the first time we will give you an individual user account number on the basis that you must use this account when requesting services from us.

2.3 These terms and conditions shall apply to all contracts you make with us. Each time you use our services you are offering to contract with us on the basis of these terms and conditions. All access to our site is subject to these terms and conditions. No other terms and conditions will apply to our supply of goods or services.

3. Your Obligations
3.1 We accept orders on the basis that the person placing the order is liable to pay us for the services. It is your responsibility to ensure the security of your user account. You will be liable to pay for any services ordered on that account until we receive notice from you to the contrary.

3.2 We only provide services on the basis that you have given us full and proper instructions and the authority to lawfully carry out those instructions.

3.3 You undertake to ensure the accuracy and completeness of the information you provide us and accept all liability for the rejection of documents due to inaccuracies or incompleteness.

3.4 It is your responsibility to ensure that any company name or domain name you choose is available for registration and can be lawfully used by you. We accept no liability for your choice of name.

3.5 Once we have accepted a request for services you may contact us via our site or at the postal address displayed on our site to ask that your request be withdrawn. Given the nature of the services we provide it will be entirely at our discretion whether or not you are entitled to a refund for those services. In the exercise of such discretion we will consider the extent to which we have commenced work on the provision of that service.

4. Our Obligations
4.1 We will exercise reasonable care in compiling our site, use reasonable efforts to make our site available to you at all times; and take the steps set out in our Privacy Policy to endeavour to secure any personal data or credit card information you give us.

4.2 On accepting a request for services from you we will acknowledge our acceptance and confirm the details you have supplied us with by way of e-mail. Our acceptance of instructions is deemed to have occurred at the time of our sending the e-mail and not at the time of your receipt.

4.3 Until we receive further instruction from you we will keep, to your credit, any application or filing fee that is returned to us on the rejection of any application or filing.

4.4 In the event of Companies House rejecting an application or submission you will have three days to re-submit the application with appropriate corrections at no extra charge.

4.5 If you request we open a bank account for your new company, a service from time to time offered on our site, we will open the account in the name of your company and the first director and secretary will be appointed signatories. When we send you your company documents we will send a new mandate for you to replace these first signatories. We accept no responsibility for the bank account other than opening it in such a manner and otherwise in accordance with the description posted on our site.

5. Price and Payment
5.1 The prices payable for services that you order are set out on our site. We reserve the right to vary these prices from time to time and post such changes on our site. Fees charged by Companies House are those in force from time to time as charged by Companies House.

5.2 Payment will be made by credit card using the procedure set out on our site at the time of ordering. The price of services you order will be confirmed at the time of the request.

5.3 You agree to pay the prices set out on our website for services selected by clicking the accept button.

6. Performance
6.1 Time is not of the essence for the performance of the services. We will use our reasonable endeavours to meet the time estimates given on our site but these remain estimates and in particular we accept no responsibility for delay caused by third parties or for reasons outside our control (such as the unavailability of the world wide web or for computer systems or telecommunications failure).

6.2 We are not obliged to accept any request or to continue to perform any service. We reserve the right to reject any request or to discontinue the performance of any service without liability.

7. Exclusion and Limitations

7.1 We make no representations or warranties about the accuracy, completeness, or suitability for any purpose of the information and related graphics published in our site. The information contained in our site may contain technical inaccuracies or typographical errors and is intended to be a general indication of our services only. Any implied terms including those as to quality, fitness for purpose, compliance with description or sample are excluded unless you deal as a consumer. 13. Bank applications

13.1 All status bank applications to HSBC, Barclays and Alliance + Leicester are introductions only, we do not charge for this service, anyone can apply for one of these accounts completely free of charge through our website or via telephone, acceptance is subject to the respective banks internal processes and their decision is usually finale, Foerster Business Solutions Ltd has no influence over the banks decision making.

13.2 All bank applications are subject to the respective banks own internal status checks.

13.3 Foerster Business Solutions Ltd can only place Non-UK residents with HSBC and Barclays again acceptance is based entirely on the banks internal scoring system and acceptance is not guaranteed.

14. Contact Cancellation

14.1 You the consumer, have the right to cancel a contract for the provision of goods or services, by notice in writing, at any time from the day after the contract was made. If, however if we have started to perform our side of the contract before you exercise your right to cancel, then the right to any refund(s) are lost.

15. Ownership Rights

15.1 All rights in the design, text, graphics and other material on our site and the selection or arrangement thereof are the copyright of us or other third parties. Permission is granted to electronically copy and print in hard copy portions of our site solely in connection with the acquisition of goods or services through our site. Any other use of materials on our site (including reproduction for purposes other than those noted above and alteration, modification, distribution, or republication) without our prior written permission is strictly prohibited.

16. Third Party Rights

16.1 These terms and conditions are not intended to be enforceable by any third party as provided by the Contracts (Rights of Third Parties) Act 1999.

Our Fees
Your application is dealt with on a personal basis, where possible we will complete all documentation, for poor credit bank accounts we do not receive any commissions from the banks and we must charge you/your Company for this service, our fees are very moderate and vary from £35 for a personal account to £99 for a Business Package, you will not find this service cheaper anywhere on the net guaranteed.

Provided you can prove your ID, you are a UK resident and can prove 3 + year residency then you have a very good chance it will work for you, should you be unfortunate enough to have an IVA within the last 6 years or a current bankrupt then unfortunately we cannot help you obtain a Business Account, though we can help with a personal account.

The bank and type of account selected for you is usually dependant on your personal and your company circumstances, we estimate 95% of all applications are approved by the bank recommended to you.

The process
Each account works slightly differently but we try to complete as much of the work as possible for you thus reducing your own work load and organisation headaches including all application forms, you just complete any parts we were unable to, some applications are submitted by FBSL and others by you in all instances at some point you are required to have your ID verified (please see below for documents required), when applying for a business account in most instances the bank will ask you to attend the bank for a short informal interview, though you are not normally asked to produce a company business plan, all personal accounts are approved via post.

Approval Time
As a general guide to timescales following completion and return of all documents, then receipt of the same by the bank, and assuming the business account is for a new start up, the following estimated timescales will usually apply:

Option 6 (Full Business Account) - 14 to 28 working days - can take longer
Option 7 (Double Account) - Accounts 1 and 2 below : -
Account 1 (Full Business Account) - usually 14 to 28 working days - can take longer
Account 2 (Personal Account) - usually 7 to 28 working days

All times are approximate and subject to change

The account opening process cannot be hurried and sometimes takes longer than the estimated times however, should your application exceeded these timescale then of course we will be happy to contact the bank for updates.

Very Important - Please be aware that the Bank will in all cases require a contact telephone number and in most cases make contact with you, calls are usually received as “call withheld,” “Private” or “0845,” please ensure you respond to these calls the banks are extremely busy, if they cannot contact you via telephone your application could be placed at the bottom of the pile or worse still forgotten about, in these instances the Banks do not advise FBSL when no contact has been made with you, and we are never made aware on any delays in the process.

When previous applications have been declined
You must advise on our initial application of all the banks who have refused your previous applications, if you have made multiple applications it is advised you leave a “cooling off” period before re-applying, the more searching made on your credit file the less likely you are of getting the account.

We have several options available to us, however in the unlikely event your application is refused by all institutions we have recommended and you have been completely honest about your adverse credit etc, then there must be some other underling issues that perhaps you are not aware of, in this instance it is recommended you apply for a copy of your credit file and forward us a copy.

If there are major issues you will need to deal with them, tidy up your credit history, we can advise briefly on this if required but be assured your purchase never expires, if it takes a year to sort out you can come back to us with confidence knowing we will make every effort to complete the process.

Refunds
We offer full unconditional refund should the customer make a purchase and immediately change their mind and request a cancellation.

A refund is offered when an order is receive and it is determined from the outset we are unlikely to be able to assist them in acquiring their choice of account.

We offer partial refunds (60% of fee) if the process has started by our staff but not yet submitted to the relevant bank and/or posted out to customer.

We do not offer full refunds once the process to obtain the chosen account has completed in our office, i.e completed application(s) have been sent electronically to the bank or through the post to customer.

A refund is not offered should the account be declined, acceptance is not guaranteed, we are not a banking institution and only ever claim to offer our professional service and introduce customers to the bank where the bank will conclude their own assessments. This decision is not taken likely our fee is very moderate, and once the service process has started much effort and time is dedicated to ensuring the best possible course of action is taken, we will however continue to assist the customer helping them where possible to obtain their required account, to this end our service never expires.
